Bridging the gap: Managing political and climate-related uncertainties in M&A transactions – The role of MAC clauses

In recent years, political unrest like the invasion of Ukraine and the events of 7 October in Israel have significantly impacted the global economy and M&A/private equity transactions. Today, with the inauguration of President Trump, further changes are imminent. Meanwhile, climate-related uncertainties have also intensified, as evidenced by the devastating natural disasters in California and Spain. Managing political and climate-related uncertainties in M&A transactions has become much more important than it was a few years ago.

In our “Bridging the Gap” series, we will be taking a look at the tool kit for manoeuvring M&A/PE transactions in these turbulent times. In the first instalment, we share some insights on MAC clauses. While these clauses have played a limited role in European M&A transactions until now, they can be a useful tool to bridge the gap in negotiations and to allocate risks appropriately.
