GSK Stockmann has provided the shareholders of MVPF Technologies GmbH, the company behind the Berlin venture builder MVP Factory, with comprehensive advice on the sale of all shares to the software specialist Ness Digital Engineering with headquarters in New Jersey, USA, which funds managed by global investment firm KKR acquired in 2022.
MVPF Technologies GmbH supports companies from startups to large corporations during ambitious technological projects, such as founding startups, drafting prototypes, or complex, digital transformation products. The company generated sales of 11.5 million euro in 2022.
In 2022, the Digital solutions company Ness Digital Engineering from New Jersey employed around 4,500 people at 11 locations across the USA, Europe, and India. The company was acquired in 2022 by funds managed by global investment firm KKR.
Philipp Petrescu, founder of MVP Factory, will stay on as the company’s managing director. Ness Digital Engineering is expected to not only provide MVPF Technologies GmbH with access to new customers, but also support the company on its intended path to becoming a worldwide digital engineering and venture-building platform. The parties have agreed to keep the purchasing price confidential.
With a team led by the Berlin Corporate/M&A partner Dr Thomas Derlin, GSK Stockmann gave the shareholders of MVPF Technologies GmbH comprehensive legal advice on the sale. The advice especially related to the complex (pre)structuring of the transaction, including carve-outs; the detailed negotiation of the extensive, complex contract documentation; and the buyer’s multijurisdictional MEP programme in cooperation with the office of GSK Stockmann in Luxembourg.
